A presente Tese discute a natureza da firma cooperativa, de acordo com a análise das relações contratuais, utilizando-se do instrumental teórico da Nova Economia Institucional, particularmente sob o ponto de vista da Economia dos Custos de Transação - ECT, e da "Agency Theory"- AT. O objetivo deste estudo é analisar o crescimento da firma cooperativa, sua capacidade de adaptação, e os custos de governança financeira, como indutores de problemas para o crescimento das firmas com eficiência econômica. Verifica-se que a empresa cooperativa, devido ao custo de oportunidade do capital próprio e aos custos da estrutura de governança financeira, apresenta maior viabilidade quando é uma empresa menor com baixa especificidade de ativos. O necessário processo de crescimento da firma faz crescer os custos de transação e de "Agency" mais do que em outros tipos de arquitetura organizacional, como das sociedades anônimas. É apresentada uma revisão teórica sobre a economia da cooperação e a natureza da firma cooperativa, desde as bases doutrinárias da cooperação, a visão neoclássica, as relações contratuais, até a descrição do ambiente institucional no Brasil. Análises gráficas mostram que quando cresce a especificidade de ativos, os custos de transação da governança financeira também crescem. Por causa destas relações e da proporção dos fatores de produção - capital e trabalho - a empresa cooperativa tende a apresentar maiores custos de transação da governança financeira, e portanto uma estrutura maior de passivos. Uma aproximação econométrica, com dados financeiros de empresas cooperativas e não cooperativas do setor de alimentos, compara os custos de governança financeira e a especificidade de ativos. O modelo de regressão mostra que a função estimada tem o mesmo comportamento da aproximação teórica da ECT, e que as cooperativas têm maiores custos de transação da governança financeira, do que empresas não cooperativas, quando cresce a especificidade de ativos. Para completar a análise econométrica dois estudos de caso são elaborados: um sobre a BATAVO, uma cooperativa brasileira de derivados de leite, que transforma a sua estrutura de capital estabelecendo uma aliança estratégica - joint venture - com uma firma não cooperativa, objetivando crescer nos mercados, e decrescer os seus custos da governança da estrutura de capital; e outro sobre a Saskatchewan Wheat Pool - SWP, uma cooperativa canadense que abre a sua estrutura de capital vendendo ações no mercado financeiro - Toronto Stock Exchange - objetivando sobreviver em mercados globais e ganhar eficiência econômica, mas mantendo a base doutrinária do cooperativismo - um homem um voto. Os estudos de caso mostram que o mercado e o sistema de preços são importantes para incrementar o monitoramento e o incentivo nas relações de "Agency" no interior da organização cooperativa, e também que é possível abrir a estrutura de capital da empresa cooperativa sem modificar as bases doutrinárias do cooperativismo. Discute-se também sobre a experiência canadense no processo de mudança da estrutura de capital das cooperativas. No Canadá a experiência da SWP e a Nova Geração de Cooperativas mostram que por meio de uma nova arquitetura organizacional é possível os custos de governança financeira e incrementar o monitoramento e os incentivos nas relações de "Agency", objetivando a necessária eficiência e agilidade de negócios na economia globalizada, respeitando a base doutrinária do cooperativismo. Por outro lado, pode-se também concluir que a aproximação teórica da Economia dos Custos de Transação é um instrumento eficiente para explicar a estrutura de capital das empresas agrícolas do setor de alimentos, em função da especificidade de ativos. Neste estudo é possível observar sob o aspecto teórico que: a) a ECT e da AT explicam o problema; b) o modelo econométrico e as elasticidades generalizam e mostram a situação; e, c) os estudos de caso confirmam a conclusão de que quando a empresa cooperativa cresce, e cresce a especificidade de ativos, crescem os custos de transação da governança financeira, mais que em outros tipos de organizacionais de empresas, e são necessárias mudanças em sua estrutura de capital

Co-operatives: economics, growth and capital structure

This thesis discusses the nature of cooperative enterprise, in accordance with contractual relationships utilizing the New Institutional Economics theoretical approach, particularly the Transactions Costs Economics - TCE, and Agency Theory - AT points of view. The objective of this study is to analyze cooperative enterprise growth, adaptation capacity, and financial governance costs, like inducing problems to the firms' growth with economic efficiency. It has been verified that cooperative enterprise, because of the opportunity costs of ownership capital and the costs of the financial governance structure, presents more viability when the cooperative is one small enterprise with a few assets specificity. The necessary growth process increases the cost of transactions and the "agency", more than other enterprise form organizations, like Investor Owned Firms. A theoretical review has been elaborated about the cooperative economics and the nature of the cooperative enterprise, from the doctrinal bases of cooperation, the neoclassical approach, the contractual relations to the description of institutional environment in Brazil. Graphic analyses show that when the specificity of the assets grows, the transaction costs of financial governance rise too. Because of these relations and the proportion of productions factors - capital and labor - the cooperative enterprise has a tendency to have more transaction costs of financial governance, and therefore a debt structure more expansive than other organizations. An econometric approach with financial data about Brazilian food and agricultural cooperative enterprises and non-cooperative enterprises compares the costs of financial governance in the function of the specificity of the assets of a theoretical TCE approach and that cooperative firms have greater costs of financial governance than other non-cooperative firms when the specificity of the assets grows. In order to complete the econometric approach, two case studies have been elaborated: one about BATAVO, a Brazilian dairy cooperative that transforms its capital structure establishing a strategical alliance - joint venture - with investor owned firms, aiming the growth in markets and decreasing the costs of capital structure governance; and another about the Saskatchewan Wheat Pool, - SWP, a Canadian cooperative that opens its capital structure sending shares to financial markets - Toronto Stock Exchange - objecting survival in global markets and gaining financial efficiency, but maintaining the doctrinal cooperative basis - one-man, one-vote. These case studies show that the market and price systems are important to increase the monitoring and incentive in the agency relations inside the cooperative organization, and also that it is possible to open the cooperative capital structure without modifying the doctrinal basis of cooperativism. Analyses are also made about the Canadian experience in the process of change in the cooperative structure. In Canada, the SWP experience and the new generation of cooperatives show that through a new organizational architecture, it is possible to diminish the financial governance costs and increase incentives and monitoring in agency relations, objecting the necessary economic efficiency and business agility in the global economy, respecting a doctrinal cooperative basis. On the other hand, it is possible to conclude that the Transaction Costs Economics theoretical approach is an efficient instrument to explain the capital structure of food and agricultural enterprises in the function of the specificity of the assets. In this study, it is possible to notice under a theoretical point of view, the following: a) TCE and AT explain the problem; b) The econometric model and elasticity generalize and show the situation, and, c) The case studies confirm the conclusion, that when cooperative enterprise grows, the asset specificity grows, and the costs of financial governance structure rise more than other organizational firms, and it is necessary to change the capital structure. Finally, it is also possible to formulate conclusion that costs of governance structure depend on the specificity of the assets and that it is necessary to change the institutional environment in Brazil so recommendations to open cooperative capital structure in financial markets are possible
