Franquias ganham cada vez mais relevância social e econômica no Brasil e no mundo. Apesar da variedade de perspectivas teóricas usadas para explicar o fenômeno, uma de suas dimensões continua pouco explorada: a dos multifranqueados. Grande parte dos estudos foca em franqueados comuns (single-unit franchisees) e no contexto estadunidense, o que faz com que questões essenciais sobre multifranqueados e sobre diferentes cenários culturais careçam de respostas adequadas. Neste trabalho, adotou-se a perspectiva teórica da Economia das Organizações para se analisar os fatores que levam à existência de multifranqueados nos segmentos de moda e vestuário no Brasil. A abordagem utilizada foi qualitativa e dividida em duas etapas. Primeiro, foram utilizadas ferramentas contábil-financeiras para se avaliar a viabilidade de investimentos em franquias nos segmentos de interesse, o que serviu de contextualização para a etapa seguinte. Depois, utilizou-se do método de análise por template para se identificar, a partir dos relatos dos entrevistados, temas capazes de oferecer insights sobre o fenômeno. Grande parte dos resultados corrobora com a literatura, apontando para diversas vantagens e desvantagens associadas à existência de multifranqueados, como redução do free-riding, compartilhamento de informações de melhor qualidade, criação de recursos organizacionais únicos, maior velocidade de aprendizado, maior poder de barganha com fornecedores, ganhos de poder na relação franqueador-franqueado, maior alinhamento de objetivos com a franqueadora, afastamento das operações, maior potencial de resistência a mudanças e reintrodução de alguns problemas de agência no sistema de franchising. Assim, indicam que as conjecturas teóricas são aplicáveis ao cenário brasileiro. Os resultados também trazem contribuições sobre aspectos pouco discutidos pela literatura, como, por exemplo, os efeitos do controle de franquias de diferentes marcas e em diferentes setores no perfil de risco do multifranqueado. Além disso, trazem uma contribuição singular à literatura de franchising ao discutir a questão do Simples Nacional - regime tributário específico ao contexto brasileiro e que tem efeitos significativos não só sobre multifranqueados, como também sobre os modelos de negócios de franquias no país. O estudo traz implicações práticas para franqueadores e franqueados, que podem avaliar as oportunidades e dificuldades associadas aos multifranqueados, bem como para legisladores, que podem entender os efeitos do Simples Nacional sobre o mercado de franquias.

Franchising is becoming more and more socially and economically relevant in Brazil and in the world. Despite the multitude of theoretical perspectives employed to explain the phenomenon, one of its dimensions is still underexplored: multi-unit franchisees. Most studies focus on single-unit franchisees and the North American context, which leaves critical questions about multi-unit franchisees and different cultural scenarios not adequately answered. In this paper, the theoretical perspective of Organizational Economics has been adopted to analyse the factors that favour the existence of multi-unit franchisees in the fashion and apparel sectors in Brazil. The approach taken is qualitative and is divided into two stages. First, finance and accounting tools were used to assess the viability of investments in the sectors of interest. This served as contextualization for the following stage. Then, template analysis was used to identify, based on the accounts shared by the interviewees, themes that could reveal insights into the phenomenon. Most results support the literature, indicating many advantages and disadvantages associated with the existence of multi-unit franchisees, such as the reduction of free-riding, better-quality information exchange, creation of unique organizational resources, faster learning, higher bargaining power with suppliers, more power in the franchisor-franchisee relationship, better alignment of interests with the franchisor, removal from the operations, higher capacity to resist changes and reintroduction of a few agency problems into the franchising system. Thus, the results indicate that theoretical conjectures apply to the Brazilian context. They also bring contributions to underdiscussed aspects of the literature, such as the effects of controlling franchised outlets from different brands and sectors on the risk profile of multi-unit franchisees. Furthermore, the results bring a unique contribution to the franchising literature as they discuss the Simples Nacional issue - a tax regime specific to the Brazilian context that has considerable impacts not only on multi-unit franchisees, but also on the franchise business model in the country. The study brings practical implications to franchisors and franchisees, as they are able to assess the opportunities and challenges associated with multi-unit franchisees, as well as implications to legislators, who can understand the effects the tax allowance known as "Simples Nacional" has on the franchise market
