Qual pode ser o papel do Parecer de Orientação dentro do arcabouço regulatório da Comissão de Valores Mobiliários (CVM)? Este trabalho desenvolverá a hipótese de que o Parecer de Orientação pode ter um importante papel no arcabouço regulatório da CVM. O Parecer de Orientação é, em essência, uma opinião da autarquia destinada a orientar o mercado de modo não obrigatório, sendo assim aproximado de soft law. Sua previsão legal e sua natureza jurídica indicam que o Parecer de Orientação tem fundamento no poder sancionador e não no poder normativo da CVM. Por isso, o Parecer de Orientação permite que a CVM se manifeste para além das restrições legais impostas ao ser poder normativo, e que interaja com o mercado de formas que não pode por meio de nenhum outro instrumento regulatório à sua disposição. Há também notáveis vantagens em comparação com a orientação via jurisprudência. Portanto, o Parecer de Orientação permitirá que a CVM induza boas práticas no mercado, dialogando com os entes regulados que, de boa-fé, desejam agir em conformidade com as orientações da CVM. What might be role played by the Parecer de Orientação within the regulation of the Comissão de Valores Mobiliários (CVM)? This thesis will further analyse the hypothesis that the Parecer de Orientação may play an integral role in CVMs regulation. The Parecer de Orientação is essentially CVMs opinion on a given subject, aimed at guiding the market and is a non-normative regulation, akin to soft law. The way the Parecer de Orientação is described by the law means that it is rooted in the sanctioning power of CVM, and not in its normative power. As a result, the Parecer de Orientação allows CVM to go beyond the legal constrains imposed to CVM for the creation of new normative regulation and to interact with the market in unique ways. There are also clear advantages compared to teaching and instructing the market via case law. Therefore, the Parecer de Orientação allows CVM to steer the market towards best practices, establishing a dialogue with players that act in good faith and want to follow CVMs guidelines. The market has shown the effectiveness of the Parecer de Orientação to influence its players and has also shown their own interest in receiving more guidance from CVM.
